Welcome to CONTACT ADRIA COMPANY on-line reservation service "CONTACT ADRIA COMPANY Reservation System".

As used in this Agreement, "we" and "CONTACT ADRIA COMPANY" means CONTACT ADRIA Hamdije Kresevljakovica street 61, Sarajevo, Bosnia and Herzegovina, which is the legal association of the site www.bosniahotels.ba and of the brand "CONTACT Adria" and "Fun Club Bosnia", and "you" means the applicant.

CONTACT Reservation System is a proprietary web service enabling accommodation property owners to sell their rooms and associated facilities and services, on a commission basis. We offer members of the accommodation industry a unique on-line reservation service for the promotion and sale of rooms and associated facilities and services.

By registering with CONTACT Reservation System you agree to be fully bound by the terms and conditions as follows. This Agreement constitutes and contains the complete terms and conditions that apply to your registration with CONTACT Reservation System and to your relationship hereunder with CONTACT Adria doo (owner of CONTACT Reservation System).

If you do not agree to be bound by the terms and conditions hereunder, DO NOT REGISTER with CONTACT Reservation System.

This Agreement commences immediately upon confirmation of CONTACT Adrias

Registration with CONTACT Reservation System is FREE.

• You pay commissions to CONTACT Adria on sales of room inventory and associated facilities and services (such as restaurant services) made via CONTACT Reservation System (including through the Revenue Share Affiliate Programme (as defined below), and others only if the following conditions are met, hereby defined as "Paid Bookings": The customer makes a reservation via CONTACT Reservation System
• You confirm the reservation
• The Client doesn

In the case of Paid Bookings made via CONTACT Adria web sites (including but not limited to CONTACT Adria

CONTACT Adria

Commissions are issued and are owed to CONTACT Adria for Paid Bookings.

Unless otherwise stated here below, commissions are payable every month (1) in period of 6 months of this Agreement, and after that every three (3) months upon receipt of invoice for Paid Bookings that have a checkout date that falls within these 3 months (Billing Period)

Due to payments that must be made by CONTACT Adria to their Revenue Share Affiliates, payment terms for commission payments in favor of CONTACT Adria are strictly as stated above. Commissions not paid within thirty (30) days are subject to default interest at 1.5% per month, or (if less) the maximum rate permitted by law in case that the above rate is or becomes illegal by operation of law.

You agree to be responsible to CONTACT Adria for all costs of collection of overdue amounts, including reasonable attorney's fees and expenses.

Failure to effect actual payment of accrued commission in a timely manner may entitle CONTACT Adria to terminate this Agreement and result in the cancellation of CONTACT Reservation System services for your property, without prior notice. You will not permitted to re-register with CONTACT Reservation System unless and until overdue amounts, default interest and costs of collection, if any, have been paid in full.

The complete list of all bookings made via the CONTACT Reservation System and related commissions payable to CONTACT Adria can be viewed and updated by you on-line using the aforementioned system. On the 26th of each month you will receive an e-mail asking you to check and update accordingly all reservations received during the month of reference. Updates and cancellations may be requested from the first day after client's check out and within the 4th (fourth) of the month following the check out (Reconciliation Period). At the end of the Reconciliation Period, CONTACT Adria will pay its Revenue Share Affiliates. You must comunicate any changes or modifications, made by customers not using the system, to CONTACT Adria, before the end of the Reconciliation Period. Requests for change or cancellation must be accompained by appropriate documentation. In absence of appropriate documentation CONTACT Adria reserves the right to refuse your request.

You can print the invoice from the CONTACT Reservation System based on our acceptance of the corrections communicated to us by you.

Randomly selected customers will receive questionnaires via e-mail from CONTACT Reservation System regarding their stay and use of registrants' facilities. Customers are under no obligation to complete questionnaire, but answers provided may be used to confirm reconciliations.

CONTACT Adria and CONTACT Reservation System use encryption technology to safeguard the confidential credit card information of customers, and commission data. However, no system can be guaranteed impregnable. CONTACT Adria and CONTACT Reservation System do not warrant that its security system is protected against unauthorised access or use. By registering with CONTACT Reservation System you expressly agree that CONTACT Adria shall not be liable for any damages whatsoever arising out of unauthorised use or access.

Both CONTACT Adria and you shall comply in all respects with any applicable provision of law on restriction of use of data in respect of all personal data that you will provide to us for the purpose of this Agreement.

The goodwill of CONTACT Adria and CONTACT Reservation System is of great value to us. In order for CONTACT Adria to operate, all information concerning your room inventory and any associated facilities or services you may choose to offer through CONTACT Reservation System, must be complete and accurate in all respects and entered by you and updated on CONTACT Reservation System

Failure to enter this information correctly and in a timely manner may result in over-bookings or under-bookings. CONTACT Adria will not be liable for lost profits, data, or use, or actual or consequential damages or any other damages whatsoever, due to the failure to post complete and correct information or due to any other similar cause.

In the event that rooms booked via CONTACT Reservation System are unavailable due to your failure to input correct information, you agree that it will be your precise responsibility to find acceptable alternative arrangements for guests who cannot be accommodated.

In the event that rates entered into CONTACT Reservation System are not correct, you agree to nevertheless honour the rate offered to the customers on the system.

Failure to comply with any of these terms will entitle CONTACT Adria to suspend all services or to cancel your registration with CONTACT Reservation System.

You agree to use the CONTACT Reservation System in the following manner:

• Keep all information posted (room availability, prices, services offered, special offers, cancellation policy) updated, complete and accurate at all times;
• Based on information provided above, the customer can send a reservation to the property, which is automatically and immediately confirmed by the CONTACT Reservation System;
• The CONTACT Reservation System will send a notification of the arrival of a new reservation via to your e-mail account, which can then be viewed in detail using the said system;
• Once a reservation has been confirmed, the customer can subsequently cancel a reservation, provided it is within the terms specified by the property via the CONTACT Reservation System (cancellation policy);
• If customer information is incorrect, the property is given the option of cancelling the reservation via the CONTACT Reservation System;
• In case of no-show or modifications made to the reservation by the customer not using the CONTACT Reservation System, changes must be communicated to CONTACT Adria as specified in the clauses of this Agreement relating to Reconciliation and Invoices.

12.1. Material You Provide to Us
You represent and guarantee to CONTACT Adria that you are the sole owner or authorised licensee of all content (including but not limited to data, graphics, photographs, trademarks, trade names, domain names and other information of any nature whatsoever) provided by you to CONTACT Adria. You authorise CONTACT Adria to partially or totally use this information on CONTACT Reservation System web sites and on the Revenue Share Affiliate sites.

You further guarantee that such information does not infringe the intellectual property or proprietary rights of any third party. You will not provide nor transmit information or material which is obscene, harassing, defamatory, vulgar, racially or ethnically objectionable or otherwise illegal using Venere.com Reservation System. You agree to indemnify and hold harmless Venere from and against any damage or expense to which it may become subject due to a breach of this warranty, including reasonable attorneys' fees and expenses.
By posting information, uploading files, inputting data or otherwise communicating over CONTACT Reservation System other than by use of the secure URL hyperlink, you grant Venere a non-exclusive, royalty-free, world-wide license to copy, transmit, reproduce and distribute such communication over CONTACT Reservation System and in any advertising or marketing materials associated therewith, without further consent or approval.

You understand and agree that any information uploaded on CONTACT Reservation System is public information, except communications made over the secure URL web address with which you will be provided to post and receive confidential guest information and invoice-related materials.

12.2. Software
CONTACT Adria is the developer and owner or licensee of all rights in any software accessed through CONTACT Adriam Reservation System or made available for download on or from CONTACT Reservation System. The use of the software is permitted only in accordance with these terms and conditions. No license or warranty in such software shall be deemed given by registration with CONTACT Reservation System or use of the relevant programmes or services, other than as expressly specified in this Agreement.

You may not modify, copy, reproduce, republish, upload, post, transmit or distribute in any way material on this site supplied by or through CONTACT Reservation System, including code or software, except in accordance with this Agreement. All rights in the software and information on this site not specifically granted by this Agreement is reserved to CONTACT Adria. You may upload only commercial information necessary to provide appropriate bookings and ancillary sales information about your property, and for reconciliation purposes. You may download materials from the CONTACT AdriaReservation System site for instructional, bookings and reconciliation purposes only. Any other use is strictly prohibited. All downloaded materials shall include the requisite proprietary notices and the copyright notice as follows: CONTACT Reservation System. All rights reserved.

You may not in any manner misrepresent or embellish the relationship between us and you, or express or imply any relationship between us and you or any other person or entity except as expressly permitted by this Agreement (including expressing or implying that Venere supports, sponsors, endorses or contributes money to any charity or other cause).

12.3. Copyright Notice
The CONTACT Reservation System site is owned and operated by CONTACT Adria, and contains material which is derived in part from material supplied by CONTACT Adria, customers and clients. All materials on the CONTACT Reservation System site and system are the property of CONTACT Adria and/or is registered properties and organisations. All rights in respect to the web site design, software, text, graphics and the selection, organisation arrangement and layout of same is are reserved.

12.4. Trademark Notice
CONTACT Adria products referenced are either the trademarks, trade names or registered trademarks of CONTACT Adria. Other product or company names appearing on CONTACT Adria may be the trademarks or registered trademarks of their respective owners.

You are responsible for any and all expenses and costs whatsoever related to the purchase, repair and maintenance of equipment and components necessary to access the CONTACT Reservation System system.

CONTACT Reservation System is a service provided by CONTACT Adria on an "as is" basis, without warranty of any kind. CONTACT Adria does not warrant that its programmes and services will operate uninterrupted or error free, that defects will be corrected or that CONTACT Reservation System will be free of viruses or other harmful components.

Under no circumstances, including but not limited to negligence of Venere or failure of CONTACT Adria or any of its programmes to operate as intended, shall Venere, its partners or affiliates, representatives, agents, its directors, employees or shareholders, be liable for any direct, indirect, incidental, special or consequential damages resulting from or arising out of access to, use, misuse or inability to use CONTACT Reservation System or other CONTACT Adria

This agreement is deed to be made in Bosnia and Herzegovina (where CONTACT Adria has its registered office) and shall be governed in accordance with the laws of the Bosnia and Herzegovina, without giving effect to any principles regarding conflicts of law.

By registering with CONTACT Reservation System online reservations service, you consent to the exclusive jurisdiction of the Courts of Bosnia and Herzegovina for resolution of any disputes arising out of or concerning this Agreement, and agree that Sarajevo will be a proper venue for resolution of such disputes.

This agreement constitutes the entire agreement between the parties hereto with respect to its subject matter, and may not be modified by you without the specific written consent of CONTACT Adria in each instance. No other information contained on the CONTACT Adria
